Due diligence is critical for a whole range of corporate finance transactions: acquisitions, disposals and investments in companies. Due diligence is required in just about every significant commercial decision: investment by existing companies in new projects and ventures, takeovers and mergers, private equity and venture capital investment, and decisions by Government and even NGOs. Failure to do due diligence properly can cost companies fortunes, and even destroy them altogether. Yet it is still done exceptionally badly. This course will provide you with an understanding of the concepts and practices of due diligence: the art of ensuring something is what you think, believe and hope it is. It will focus on why failures of due diligence were key in the wave of financial disasters that have affected markets from the USA and the Middle East to Asia. This course in particular teaches how to do it properly. Every type of due diligence will be examined, case studies provided and the procedures necessary reviews. Each element of due diligence will be separately reviewed, looking at both the progress of the process and the different organizations Involved. You will understand the essential tools you need to run due diligence for even the most complex of deals, and will also gain first-hand insight into key issues in commercial and legal aspects of acquisitions and financing, ownership of assets and pending and threatened litigation. The case studies will be examined both successful and notable failures of due diligence.
